These Terms of Use ("Terms") govern your access to and use of the Haulwerk platform, including the Haul website, consumer applications, dispatcher portals, driver applications, communications systems, booking tools, payment systems, and related services (collectively, the "Haul Service").
PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE HAUL SERVICE, INCLUDING BY CREATING AN ACCOUNT, REQUESTING SERVICES, BOOKING A SERVICE, OR OTHERWISE USING THE HAUL SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE HAUL SERVICE.
1. Eligibility
You must:
- Be at least 18 years old
- Reside in the United States
- Have authority to enter into binding agreements
- Provide accurate information
By using the Haul Service, you represent and warrant that you satisfy these requirements.
2. Marketplace Disclosure
Haulwerk is a technology marketplace platform only.
Haulwerk:
- Does not provide hauling, moving, transportation, disposal, or labor services
- Does not employ drivers, movers, or hauling personnel
- Does not supervise, direct, or control service providers
- Is not a carrier, transportation company, freight company, mover, waste hauler, contractor, or disposal operator
- Is not responsible for the acts or omissions of service providers
All services are performed solely by independent third-party Service Providers.
Service Providers are not employees, agents, joint venturers, franchisees, or partners of Haulwerk.
Haulwerk's role is limited to:
- Providing marketplace technology
- Facilitating bookings
- Providing AI-assisted pricing tools
- Facilitating communications
- Facilitating payments
- Supporting operational workflows
3. Accounts & Security
You may be required to create an account.
You agree to:
- Maintain accurate information
- Maintain confidentiality of login credentials
- Accept responsibility for activity occurring through your account
- Notify Haulwerk of unauthorized use
Haulwerk may use automated fraud-prevention, security, and abuse-detection systems.
Haulwerk may suspend, limit, or terminate accounts for:
- Fraud
- Suspicious activity
- Payment disputes
- Safety concerns
- Policy violations
- Platform integrity reasons
- Legal compliance reasons
4. Bookings, Estimates & Pricing
4.1 AI-Assisted Estimates
The Haul Service may provide AI-assisted estimates, estimated ranges, or instant-book pricing. These estimates are generated using automated systems and user-provided information, including uploaded photos and inventory descriptions.
You acknowledge and agree:
- Estimates are informational only
- Estimates are not guarantees
- Estimates may be inaccurate or incomplete
- Estimates may not reflect actual job conditions
- Final pricing may vary based on actual conditions
- AI systems may fail to identify hazardous materials, excessive volume, access limitations, or other conditions
Users should not rely exclusively on automated estimates.
4.2 Instant Book Pricing
Where available, a Service Provider may accept a job at the instant-book price displayed through the Haul Service. Once accepted by the Service Provider, the instant-book price becomes the agreed booking price for the disclosed scope of work.
4.3 Quote-Based Bookings
Service Providers may submit quotes or bids for jobs. If a customer accepts a quote, the accepted quote becomes the agreed booking price.
4.4 Undisclosed Conditions & Scope Changes
Customers represent that all uploaded photos, descriptions, inventory information, addresses, access conditions, and disclosed materials are accurate and complete to the best of their knowledge.
Undisclosed or inaccurate conditions may include:
- Additional volume
- Excessive weight
- Undisclosed stairs or elevators
- Access limitations
- Parking restrictions
- Hazardous materials
- Biohazards
- Infestations
- Prohibited items
- Unsafe conditions
If actual conditions materially differ from disclosed conditions, the Service Provider may:
- Pause the job
- Refuse service
- Cancel the booking
- Decline to remove prohibited materials
Additional fees, cancellation charges, or refusal of service may apply. Haulwerk is not responsible for pricing disputes arising from inaccurate or incomplete disclosures.
5. Prohibited Items & Hazardous Materials
Customers must not request removal, transportation, storage, disposal, or handling of prohibited materials unless expressly permitted by applicable law and accepted by the Service Provider.
Prohibited or restricted items may include:
- Hazardous waste
- Chemicals
- Explosives
- Firearms
- Ammunition
- Biohazards
- Medical waste
- Radioactive materials
- Asbestos
- Illegal substances
- Flammable materials
- Toxic substances
- Regulated waste
Customers are solely responsible for disclosing hazardous or regulated materials. Haulwerk's AI systems, screening tools, or operational reviews may fail to detect prohibited materials. Haulwerk makes no guarantee regarding detection, identification, or classification of hazardous materials.
Service Providers may refuse any job they believe:
- Is unsafe
- Violates law
- Involves prohibited materials
- Presents environmental or health risks
6. Payments, Authorizations & Fees
6.1 Payment Authorization
By booking services, you authorize Haulwerk and its payment processors to:
- Authorize payment methods
- Capture charges
- Retry failed payment methods
- Process tips
- Process refunds where applicable
- Recover unpaid balances
- Offset disputed amounts
6.2 Payment Flow
Payments are processed through Stripe Connect and related payment providers. Haulwerk acts solely as a limited payment collection agent for Service Providers. Haulwerk is not a bank, escrow provider, trustee, or fiduciary.
Payment captures may occur after service completion. Provider payouts may occur before final customer dispute resolution in certain circumstances.
6.3 Failed Payments
You remain responsible for all authorized charges, including after services are completed.
If payment capture fails:
- Haulwerk may retry payment methods
- Additional payment methods may be charged
- Access to the Haul Service may be suspended or limited
- Haulwerk or Service Providers may pursue collection or recovery
6.4 Tips
Tipping is optional. Where tips are provided, 100% of the tip amount is intended for the Service Provider. Suggested tip percentages may be displayed for convenience only.
6.5 Platform Fees
Haulwerk may charge platform fees, booking fees, service fees, or other disclosed fees. Any non-refundable fees will be disclosed before checkout.
7. Service Provider Rankings & Recommendations
Haulwerk may rank, recommend, feature, prioritize, or highlight certain Service Providers.
Placement, ranking, badges, or "preferred provider" designations may be based on factors including:
- Historical completion data
- Cancellation rates
- Customer ratings
- Operational responsiveness
- Platform participation
- Commercial relationships
- Paid placement
- Promotional participation
- Geographic availability
- Trust and safety metrics
- Internal operational considerations
Placement or designation does not constitute:
- Certification
- Endorsement
- Guarantee
- Warranty
- Representation regarding legality, licensing, insurance, safety, or quality
"Verified" means only that Haulwerk received certain information or documentation at a point in time and does not constitute confirmation of ongoing compliance, insurance validity, legal authorization, or suitability.
8. Customer Conduct
You agree not to:
- Provide false or misleading information
- Circumvent platform fees
- Solicit off-platform transactions to avoid fees
- Harass or threaten users or providers
- Upload illegal or prohibited materials
- Use the platform unlawfully
- Interfere with platform operations
- Misuse provider information
Customers and third parties are strictly prohibited from riding in Service Provider vehicles unless independently authorized and insured by the Service Provider. Haulwerk does not provide transportation services.
9. User Content License
You may upload photos, videos, descriptions, inventory information, communications, and other content ("User Content").
You grant Haulwerk a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable license to host, store, process, analyze, reproduce, modify, create derivative metadata from, use, and display User Content for:
- Platform operations
- Pricing systems
- AI and machine learning systems
- Fraud prevention
- Safety systems
- Analytics
- Customer support
- Product improvement
- Operational intelligence
- Demonstration and marketing using deidentified or aggregated information where reasonably practicable
Haulwerk does not claim ownership of User Content.
10. Cancellations & Disputes
Service disputes are primarily between customers and Service Providers.
Haulwerk may, but is not obligated to:
- Assist communications
- Review evidence
- Facilitate dispute resolution
- Issue courtesy credits or refunds
- Freeze payouts
- Reverse transactions
- Suspend accounts
Customers should document disputes promptly with photos, communications, and supporting evidence.
11. Force Majeure
Haulwerk shall not be liable for delays, failures, interruptions, or inability to perform resulting from events beyond its reasonable control, including:
- Natural disasters
- Wildfires
- Earthquakes
- Weather events
- Labor shortages
- Internet or telecommunications failures
- Cloud infrastructure outages
- Cyberattacks
- Government actions
- Civil unrest
- Pandemics
- AI or software failures
- Utility interruptions
12. Disclaimer of Warranties
THE HAUL SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULWERK DISCLAIMS ALL WARRANTIES, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- AVAILABILITY
- RELIABILITY
- QUALITY OF SERVICES
Haulwerk does not guarantee:
- Pricing accuracy
- Service quality
- Availability
- Legal compliance of Service Providers
- Insurance coverage
- Job completion
- Safety
- Hazardous material detection
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAULWERK SHALL NOT BE LIABLE FOR:
- PERSONAL INJURY
- PROPERTY DAMAGE
- THEFT
- SERVICE PROVIDER CONDUCT
- DISPOSAL VIOLATIONS
- ENVIRONMENTAL VIOLATIONS
- HAZARDOUS MATERIALS
- BUSINESS INTERRUPTION
- LOST PROFITS
- INDIRECT OR CONSEQUENTIAL DAMAGES
Haulwerk's total liability shall not exceed the greater of:
- $100
- Amounts paid to Haulwerk in the preceding twelve (12) months
Nothing limits rights that cannot legally be waived.
14. Indemnification
You agree to defend, indemnify, and hold harmless Haulwerk and its affiliates, officers, directors, employees, contractors, and agents from claims arising from:
- Your use of the Haul Service
- Your User Content
- Your interactions with Service Providers
- Your violation of law
- Your violation of these Terms
- Hazardous materials
- Misrepresentations regarding job conditions
15. Arbitration Agreement & Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY.
15.1 Agreement to Arbitrate
You and Haulwerk agree that all disputes arising from or relating to these Terms or the Haul Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its applicable consumer arbitration rules.
The Federal Arbitration Act governs this arbitration agreement.
15.2 Waiver of Jury Trial
YOU AND HAULWERK WAIVE ANY RIGHT TO A JURY TRIAL.
15.3 Class Action Waiver
YOU AND HAULWERK AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY. NO CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTIONS ARE PERMITTED.
15.4 Small Claims
Either party may bring qualifying individual claims in small claims court.
15.5 Mass Arbitration
If multiple substantially similar claims are filed against Haulwerk by the same or coordinated counsel, the parties agree that claims may be batched, staged, or consolidated in accordance with AAA procedures or court order.
15.6 Opt-Out
You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing support@haulwerk.com.
15.7 Severability
If any portion of this arbitration provision is found unenforceable, the remaining provisions shall remain enforceable to the maximum extent permitted by law.
16. Electronic Communications & Consent
You consent to receive electronic communications relating to the Haul Service, including:
- Emails
- SMS messages
- Push notifications
- Electronic disclosures
- Agreements
- Notices
- Receipts
Electronic records satisfy legal writing requirements.
17. Termination
Haulwerk may suspend or terminate access at any time for any reason, including:
- Fraud
- Risk management
- Safety concerns
- Legal compliance
- Platform integrity
- Payment disputes
- Operational concerns
Outstanding obligations survive termination.
18. Governing Law
These Terms are governed by California law without regard to conflict-of-law principles.
